The Legal Counsel, as an integral part of the group headquarters legal function, is responsible for advice, supervision, and execution of corporate and commercial legal matters for the global group.
Responsibilities:
- Act as Portuguese-qualified lawyer to support the Portugal office as follows (10-15%):
- Manage and assist on all legal aspects related to our Porto Service Centre of Excellence;
- Manage a wide range of general legal matters including corporate, commercial, IT, Data Protection, employment law (contentious and
- contentious); - Work closely with management and functions throughout the Porto Centre of Excellence;
- Ensure coordination with local and global Management Teams.
- Support the global corporate group as follows (85-90%):
- Negotiate with financial institutions on banking facilities and other banking arrangements.
- Advise the group on strategic M&A projects, acting as principal legal adviser with or without external counsel.
- Where appropriate, instruct and oversee external counsel, including as to budgeting, according to project requirements.
- Structure, document, and execute
- group corporate actions, such as capital increases, dividend distributions, and internal
- organizations. Work closely with corporate secretariat, finance, and other functions as required. - Oversee the execution by regional teams of regional corporate projects such as M&A deals or corporate
- structuring exercises. Accountable towards group management for securing the outcomes. - Collaborate with the sustainability department on sustainability initiatives including in the areas of financing, public reporting, regulatory compliance, and operational risk.
- Negotiate commercial contracts, e. g. for corporate procurement, and advise stakeholders on the legal and business implications of contracts.
- Occasional need to travel, including to Geneva Headquarters.
- Work in our Porto office in line with our hybrid working arrangements.
What do qualifications and experience is needed to be successful in the role:
- Legally qualified and registered with Bar Association in Portugal.
- 2+ years of experience (after all legal training) in a multinational law firm or legal department of a multinational company.
- Fluent in English (spoken and written) and Portuguese (spoken and written).
- Demonstrable experience in at least one of: corporate law, banking law. Experience in tax law or labor law is an advantage.
- Experience working in an international environment and the language, cultural, and legal complications posed by it.
- Some familiarity with the general principles of
- law legal systems. - Strong conversance in Microsoft Office; good general technological awareness.
