Role

We are looking for an experienced Legal M&A Counsel to join our Saa
S Legal team. You will lead the legal stream for our M&A transactions across Europe together with the Saa
S General Counsel. You will work closely with the Saa
S General Counsel and collaborate with colleagues in M&A, PMI, tax, and finance on a daily basis. You will be supported by a Junior Legal M&A Counsel, for whose further development you will be responsible.

Key Responsibilities

• Lead the legal stream for the group’s M&A transactions (share and asset deals)

  - end
• Draft and negotiate transactional contracts (SPAs, SHAs, APAs, management agreements, earnout agreements, …)
• Coordinate legal due diligence processes
• Drive process optimisations together with the M&A, tax, and finance teams
• Manage and coordinate internal and external legal advice on transactional matters

Requirements

Education & Professional Background

• Law degree from a recognized institution
• Minimum 5+ years of M&A legal experience
• Qualified lawyer

Technical Skills

• Solid background in M&A and experience with leading legal M&A processes
• Self-driven, proactive, and collaborative working style
• Analytical and pragmatic mindset
• Strong organisational and prioritisation skills
• Ambition to take full responsibility for all transactional matters within the group

Language Requirements

• Fluent in English (working language) + at least one other European language
